Article 1 (Eligibility) 1. This NFT Terms of use ("The Terms of Use") set forth terms concerning sales and use of NFT marketed by GeoTechnologies, Inc. ("GT"). The Terms of Use apply to the person ("Purchaser") who purchases this NFT through NFT sales platform "OpenSea," under the agreement associated with the NFT's purchase. Purchasers are deemed to have understood and agreed to OpenSea's terms of use when they purchase the NFT. Article 2 (Including permission for use) 1. Purchasers confirm and agree that the copyrights and any other legal rights about intellectual properties concerning the NFT and its associated art (including the art, graphics, illustrations, images, icons, designs, logos, diagrams and so forth that are tied to or associated with the NFT the purchaser purchased pursuant to the Terms of Use; the same applies hereafter) belong to GT. 2. With the purchase of this NFT, the purchaser will obtain non-exclusive, untransferable (except cases set forth in Article 4 of this Terms of Use) and free rights based on this Terms of Use or through OpenSea, to display the NFT ("The Purchased NFT") and the art tied to the purchased NFT. 3. Pursuant to the previous article, GT shall retain all copyrights, trademark rights and other legal rights concerning the purchased NFT, except for cases where the purchaser purchases the NFT as set forth in the previous article. 4. By agreeing to the terms below, the purchaser may transfer to a third party ("The Recipient") the purchased NFT and its usage rights through OpenSea, but not when usage rights and other rights for the purchased NFT and art have expired pursuant to Item 1, Article 7 of the Terms of Use, or when the purchaser has violated any of the provisions of the Terms of Use or OpenSea's terms of use. (1) The purchaser will be accountable to have the recipient of the NFT agree to and comply with all provisions of the Terms of Use and OpenSea's terms of use. (2) The purchaser shall be held liable for any damage caused to GT or a third party by the recipient of the purchased NFT violating the Terms of use or OpenSea's terms of use. (3) GT shall not be held liable whatsoever for any transactions concerning the purchase of the purchased NFT and its associated art by the purchaser. Should any disputes arise between the purchaser and the recipient of the purchased NFT, the purchaser shall resolve the dispute at their own expense and responsibility. (4) The transfer of the purchased NFT expires the rights the purchaser obtained as set forth in Article 2 of the Terms of Use. Article 3 (No cancellations accepted) No cancellation (product return and refund) is accepted for the purchase of this NFT. Article 4 (Prohibitions) The purchaser must not engage in any conduct below (including any conduct that may be seen as such conducts) and shall not make the recipient of the purchased NFT or any other third party engage in such conduct. (1) Any act of violating various rights belonging to GT or third parties (including but not limited to copyrights, trademark rights and other rights of this NFT belonging to GT or third parties) (2) Changing or modifying the design, shape, coloring, or any other aspect of the art tied to the purchased NFT (3) Displaying, distributing, copying, or using in any other way the purchased NFT to advertise the purchaser’s service or sales, or for any other commercial purposes (4) Taking procedures such as transferring and selling usage rights and other rights concerning the purchased NFT or art tied to the purchased NFT, except in cases permitted in the Terms of Use (5) Any conduct violating court rulings, decisions or orders including laws, and any legally binding disciplinary actions, and any conduct that violates public order or good customs (6) Any conduct that disrupts or prevents GT’s smooth operations or provision of services regarding the NFT, regardless of means (7) Any conduct that violates the Terms of Use or OpenSea’s terms of use (8) Any other conduct we deem inappropriate based on rational evidence Article 5 (Indemnities) 1. This NFT is provided in its original state. GT will not explicitly or implicitly warrant in any way whatsoever the NFT’s affinity with the purchaser’s intended specific uses, or NFT’s complete match with facts, completeness, accuracy, effectiveness, or flawlessness. GT shall not be held liable in any way whatsoever for any damage the use or un-usability of the NFT causes to the purchaser, the recipient, or third parties. 2. GT will not warrant in any way whatsoever the completeness or sustainability of the NFT’s block chain technologies. GT will not be held liable for any flaws in the blockchain technologies limiting the purchaser’s usage rights for the purchased NFT. 3. GT will not guarantee that, after the purchaser purchases the NFT, the purchased NFT’s value will be maintained or rise. 4. GT will not be held liable when the website that carries the Terms of Use, operated by GT, becomes unviewable for reasons such as maintenance and system failures. 5. If OpenSea services become suspended or its systems fail, such problems shall be resolved pursuant to OpenSea’s terms of use. GT shall not be liable in any way whatsoever for any damage caused to the purchaser or third parties for the use or un-usability of OpenSea (including various features and services OpenSea provides). Article 6 (Exclusion of anti-social forces) The purchaser will represent and warrant that the purchaser is not, has not been, or will never be, part of anti-social forces (including organized gangs, members of organized gangs, a person who was a member of an organized gang within the last five years, sub-members of organized gangs, affiliates of organized gangs, racketeer groups, groups engaging in criminal activities under the pretext of conducting social campaigns, intellectual crime groups, and anyone considered as such) and will not engage in violent conduct, fraud and threats, obstruction of business, and any other conduct that violates or may be considered to violate the law. Article 7 (Expiration of usage rights, liabilities) 1. If the purchaser violates any of the provisions in the Terms of Use or OpenSea’s terms of use, or violate the representations and warranties in the previous article, the usage rights and other rights the purchaser obtained with the purchase of the NFT pursuant to the Terms of Use will immediately expire. 2. GT shall not be held liable in any way even if application of the previous article causes inconveniences or any damage to the purchaser. 3. If the purchaser causes damage to GT by violating the provisions of the Terms of Use, the purchaser will compensate for the damage even if the Terms of Use has expired. Article 8 (Governing law) The agreement going into the effect, its effects, execution and interpretation shall be governed by the laws of Japan. Article 9 (Jurisdiction) Any disputes arising between the purchaser and GT concerning the Terms of Use shall be under the jurisdiction of the Tokyo District Court as the court of first instance.
